MAIN PRACTICE AREAS
Foreign Direct Investment (FDI) in China• Formation of Foreign Investment Enterprises in China – help clients to design proper corporate structure; negotiate joint venture contracts and supplemental agreements; conduct necessary due diligence; draft articles of association and other legal documents.
• Regulatory Compliance – advise clients on compliance with laws and regulations related to business operations in China, such as, foreign investment, foreign currency exchange, import and export, employment, taxation and intellectual property, etc.
Corporate and Capital Markets
• Venture Capital, Private Equity investment and M&A in China - provide legal services related to the transactions, such as, due diligence, contract negotiation, legal drafting and closing.• IPOs in China, Hong Kong and USA – design corporate structure for IPOs in different capital markets; conduct due diligence and issue legal opinions on matters relating to Chinese law.
International Dispute Resolution
• Dispute Resolution – advise clients on matters of conflict of law, design dispute resolution strategy, coordinate with local counsel, resolve dispute through negotiation, mediation, arbitration or litigation.• Dispute Prevention – assist clients to prevent disputes in advance via well-drafted contracts with third parties that comply with the local laws and proper internal rules and policies regarding employee relationship and shareholder relationship.
